1. Acceptance of Terms
By downloading, installing, or using Nemo ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Software.
2. Description of Service
Nemo is a local-first AI agent desktop application that automates tasks using AI-powered skills. The Software runs on your computer and connects to third-party LLM providers (using your own API keys) to process requests. Optional cloud features include account management, a skill marketplace, cloud relay, and collective intelligence.
3. Eligibility
You must be at least 13 years old to use Nemo. If you are under 18, you must have permission from a parent or legal guardian.
4. Your Account
Some features require a Nemo account. You are responsible for:
- Keeping your login credentials secure.
- All activity that occurs under your account.
- Notifying us promptly if you suspect unauthorized access.
5. Acceptable Use
You agree not to use Nemo to:
- Violate any applicable laws or regulations.
- Automate actions on websites or services that prohibit bot access, without authorization.
- Send spam, phishing messages, or malicious content.
- Attempt to reverse-engineer, decompile, or extract proprietary components of the Software.
- Abuse, overload, or interfere with Nemo's cloud services or marketplace.
- Upload malicious skills to the marketplace.
- Circumvent Nemo's safety guardrails (Guardian, PII protection, consent model).
6. Skill Permissions & Consent Model
Nemo uses a three-tier consent model for skill actions:
- Execute — Actions run automatically (typically read-only, local operations).
- Draft — Actions are queued for your review before execution (e.g., sending emails, submitting forms).
- Observe — Actions are logged but not executed.
You are responsible for reviewing and approving draft actions. Nemo will not send emails, submit forms, or perform irreversible actions without your explicit approval, unless you have configured a skill to auto-execute.
7. Third-Party LLM Providers
Nemo connects to third-party LLM providers (Anthropic, OpenAI, OpenRouter, Ollama, or custom endpoints) using your own API keys. You are responsible for:
- Complying with the terms of service of your chosen LLM provider.
- Any costs incurred through your API usage.
- Understanding that prompts and context are sent to the provider for processing.
Nemo is not responsible for how third-party LLM providers handle your data. We recommend using Ollama for fully offline operation if privacy is a priority.
8. Marketplace Terms
The Nemo Skill Marketplace allows users to buy and sell skills. The following terms apply:
- Purchases — All payments are processed by Stripe. A 48-hour refund window applies from the time of purchase.
- Sellers — Submitted skills undergo automated security scanning (AST analysis) and human review. Skills with critical or high-severity security issues are automatically rejected.
- Safety — All marketplace skills run with strict safety defaults: write actions require draft consent, strict PII protection, and no credential access.
- Revenue — Revenue sharing terms for sellers are outlined in the Marketplace Seller Agreement.
9. Data Ownership
You retain full ownership of:
- All data stored locally on your device (documents, credentials, history, profiles).
- Content generated through your use of the Software.
- Skills you create and submit to the marketplace.
Nemo does not claim ownership of any user data or generated content.
10. Intellectual Property
The Nemo software, branding, documentation, and built-in skills are the intellectual property of Nemo and its contributors. You may not copy, modify, or distribute the Software except as permitted by the applicable license.
11. Disclaimer of Warranties
Nemo is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We do not guarantee that:
- The Software will be uninterrupted, error-free, or secure.
- AI-generated outputs will be accurate, complete, or suitable for any purpose.
- Third-party skills from the marketplace will function as described.
You use Nemo at your own risk. Always review AI-generated actions before approving them.
12. Limitation of Liability
To the maximum extent permitted by law, Nemo and its contributors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of data, profits, or business opportunities.
- Damages resulting from automated actions taken by the AI agent.
- Damages from third-party skill marketplace content.
- Service interruptions or API provider outages.
13. Account Termination
We reserve the right to suspend or terminate your Nemo account if you:
- Violate these Terms of Service.
- Upload malicious skills to the marketplace.
- Abuse cloud services or the collective intelligence system.
- Engage in activity that harms other users.
Account termination does not affect your locally stored data. You can continue using Nemo offline without an account.
14. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of Nemo after changes constitutes acceptance of the updated Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.
